RAKEZ is a free zone issuing operational FZE/FZC licenses, the closest equivalent to an LLC. These entities can lease office space, sponsor visas for staff and investors, and trade internationally and, depending on the license, within the UAE.

RAK ICC functions well as a central coordination point for international groups. An entity can hold shares in other companies, whether UAE-based or foreign, consolidating ownership of subsidiaries, joint ventures, or investment portfolios into one tax-neutral structure. The hard boundary: it cannot sell to UAE mainland customers or run local retail activity. The moment a business needs to serve the domestic UAE market, a free zone or mainland license takes over as the right tool.

RAK ICC’s confidentiality and flexible share-class structures make it a popular choice for family wealth planning. Shareholder details don’t appear on a public register, ownership can be split across multiple share classes, and a single entity can hold a mix of assets – shares, IP, bank accounts, and approved real estate – under one structure. For families planning generational transfer, that centralization makes managing and eventually passing on assets considerably simpler than restructuring each one separately. 

RAK ICC Offshore Company Formation: Who It’s Not For? 

If the objective is a UAE residence visa, hiring local staff, or trading directly with UAE customers, a RAK ICC offshore company isn’t the right vehicle, full stop – RAKEZ or another free zone/mainland license is the correct path instead. It’s also worth planning for the practical side: RAK ICC companies are required to keep proper accounting records even without a mandatory audit, and banks apply enhanced due diligence when opening accounts for offshore entities so build realistic time into your setup timeline rather than assuming it’s instant.
