DIFC SPV Required Documents: Everything You Need to Prepare!

Setting up a DIFC SPV requires a comprehensive KYC and compliance package. Individual shareholders must provide certified identity, address, and source of wealth documents, while corporate shareholders must submit ownership, governance, and financial records, along with KYC documents for all Ultimate Beneficial Owners (UBOs). Preparing a complete and properly certified documentation package from the outset can help avoid delays and ensure a smoother DIFC SPV incorporation process. 

Setting up a Special Purpose Vehicle (SPV) in the Dubai International Financial Centre (DIFC) is one of the most strategic moves an investor, family office, or corporate group can make in today’s Middle East deal landscape. The DIFC offers a common law framework, zero tax on profits and capital, and a credible regulatory environment that is recognized across global financial markets. But before your SPV is live and operational, there is one thing every applicant must clear: documentation. 

The DIFC’s onboarding process is rigorous by design. As a jurisdiction committed to the highest international standards of anti-money laundering (AML) compliance and Know Your Customer (KYC) due diligence, the DIFC Authority requires every SPV applicant to submit a detailed package of verified documents. Miss a document, submit an uncertified copy, or present an outdated utility bill, and your incorporation timeline stalls. 

This article walks you through exactly what you need – whether you are an individual shareholder or a corporate entity – so you can walk into the process prepared. 

DIFC SPV Required Documents for Individual Shareholders 

If the SPV is being set up with one or more individual shareholders, each person must submit the following: 

1. Certified Passport Copy – A clear, valid copy of the shareholder’s passport, certified by a qualified professional. This is the primary identity document and must be current. 

2. Emirates ID and UAE Visa Copy – If the individual is a UAE resident, a copy of their Emirates ID and valid UAE visa must be included. This requirement is applicable where relevant. 

3. Certified Proof of Residential Address – A utility bill or equivalent document dated within the last three months that confirms the shareholder’s current residential address. This must also be certified. 

4. CV or Professional Profile – A brief professional biography or curriculum vitae outlining the individual’s background, experience, and business activities. This helps establish the legitimacy and context of the applicant’s involvement in the SPV. 

5. Source of Wealth and Source of Funds Documentation – This is one of the most critical components of the KYC process. Applicants must provide supporting documentation that clearly demonstrates how their wealth was accumulated and where the funds being introduced into the SPV originate. This may include audited accounts, sale agreements, inheritance documents, or salary records, depending on the circumstances. 

DIFC SPV Required Documents for Corporate Shareholders 

When a corporate entity holds shares in the DIFC SPV, the documentation requirements are more extensive, reflecting the need to understand the full structure behind the entity: 

  • Certificate of Incorporation or Trade License – Proof that the corporate entity is duly registered and in good standing in its home jurisdiction. 
  • Memorandum and Articles of Association – The foundational constitutional documents governing the company’s operations and objectives. 
  • Register of Directors and Register of Shareholders – Current, official records identifying who controls and owns the corporate shareholder. 
  • Certificate of Incumbency or Good Standing – A formal confirmation from the relevant authority that the company is legally active and compliant. 
  • Corporate Structure Chart – A visual or written breakdown of the ownership hierarchy, showing all entities and individuals up the chain. 
  • Latest Audited Financial Statements – These provide a snapshot of the company’s financial health and are used to corroborate source of funds declarations. 
  • KYC Documents for All Ultimate Beneficial Owners (UBOs) – For each individual who ultimately owns or controls 25% or more of the corporate shareholder, the same individual documents apply: certified passport, certified proof of address, and a CV or professional profile. 

Certification Requirements 

All KYC documents must be certified by a suitably qualified professional – typically a Lawyer, Chartered Accountant, or another individual authorized to certify official documents in their jurisdiction. Each certification must clearly display the certifier’s full name, professional qualification number, and official seal or stamp. Uncertified or improperly certified documents are routinely rejected and will slow down your onboarding timeline. 

A Word of Caution for Complying with DIFC SPV Required Documents 

The checklist above covers the standard baseline requirements. However, the DIFC’s compliance teams may request additional documents depending on the nature of the SPV, the jurisdictions involved, the risk profile of the shareholders, or the intended business activities. The onboarding process is not a one-size-fits-all exercise.
