If you’re setting up a DIFC Foundation – for wealth structuring, holding assets, or ring-fencing a philanthropic vehicle – the incorporation cost is only half the story. Alongside the one-time setup, the DIFC Authority charges a set of recurring annual fees to keep the Foundation active and compliant. Knowing these upfront makes it much easier to budget for the structure over its full lifetime, not just its first year. 

Breaking Down the DIFC Foundation Cost Structure

Commercial License Fee – $350, Annual

Every DIFC Foundation needs to hold a valid license to remain active, and this is the fee that keeps it that way. It’s payable annually, and missing it isn’t just an admin headache – a lapsed license can put the Foundation’s good standing at risk, which matters if you’re using the structure to hold shares, real estate, or other assets that need a clean legal wrapper. 

Confirmation Statement – $300, Annual 

Think of this as DIFC’s way of asking, “is everything still accurate?” The confirmation statement is an annual filing that confirms your Foundation’s details – council members, registered address, beneficiaries, and so on – are up to date with the registrar. It’s not optional, and it’s not a formality you can skip; DIFC uses it to keep its public and regulatory records current. 

Knowledge and Innovation Fee – $5.45, Annual 

This one is almost a rounding error compared to the others, but it still needs to be paid. It’s a nominal annual charge levied across DIFC entities that goes toward funding DIFC’s broader knowledge and innovation initiatives. Small number, but skipping it can still flag your Foundation as non-compliant. 

Data Protection Fee – $750 in Year 1, then $250 from Year 2 onward 

This is the one that catches people off guard. DIFC operates under its own data protection law, and Foundations – like every other DIFC entity – need to register and pay this fee to stay compliant. The Year 1 fee is notably higher at $750, dropping to $250 from Year 2 onward. If you’re budgeting only off what a consultant quoted you off a template, this front-loaded cost is easy to miss. 

DIFC Foundation Setup Cost: Why This Matters Beyond Year One?

Add these up and you’re looking at roughly $1,405 in Year 1 and closer to $905 annually from Year 2 onward – and that’s before you factor in registered agent fees, any UBO or economic substance filings that may apply, and professional fees if you’re using a corporate service provider to manage compliance on your behalf. 

None of these numbers are large individually. But DIFC Foundations are usually set up by people who want a “set it and forget it” structure – a vehicle to hold assets quietly and pass them on cleanly. The irony is that these structures come with more moving compliance parts than people expect, and each one has its own deadline, its own portal, its own paperwork. Miss one, and you risk penalties or, in worse cases, the Foundation falling out of good standing. 

The other thing worth flagging: fee schedules like this change. DIFC periodically revises its fee structure, so what’s accurate today may shift by the time your next renewal comes around. Budgeting for a Foundation is something you want reviewed annually, ideally by someone who’s already tracking DIFC’s regulatory updates so you don’t have to.
