What Are the Ongoing Compliance Obligations of an ADGM Foundation? Find Out Here!

Abu Dhabi Global Market (ADGM) has established one of the most flexible and privacy-friendly foundation regimes in the region. Governed by the Foundations Regulations 2017, an ADGM Foundation is a distinct legal entity commonly used for wealth preservation, family succession planning, philanthropic initiatives, and asset protection. 

While the structure is intentionally designed to be efficient and straightforward, founders, council members, and guardians must remain mindful of a number of ongoing compliance obligations to ensure the foundation remains in good standing with the ADGM Registration Authority (RA) and other relevant UAE regulators. 

Annual Compliance Requirements for an ADGM Foundation 

Annual Renewal of the Commercial License

One of the primary recurring obligations for an ADGM Foundation is the annual renewal of its commercial license with the ADGM Registration Authority. 

The annual renewal fee currently stands at USD 200, while the annual Data Protection renewal fee is USD 300. Failure to renew within the prescribed timeline may result in penalties, restrictions on regulatory filings, or the foundation losing its good standing status with the Registrar. 

Data Protection Renewal 

In addition to commercial license renewal, ADGM Foundations must renew their data protection registration annually where applicable. The renewal ensures continued compliance with ADGM’s Data Protection Regulations and supports the lawful handling of personal information maintained by the foundation. 

As with license renewals, the ADGM portal generally opens the renewal process shortly before the expiry date, making timely action essential. 

Corporate Tax Registration 

The introduction of UAE Corporate Tax has added an important compliance consideration for ADGM Foundations. 

Where applicable, foundations must assess whether they fall within the scope of UAE Corporate Tax and complete registration with the Federal Tax Authority (FTA) within the prescribed timelines. Even where a foundation primarily functions as a holding or succession planning vehicle, its activities should be reviewed periodically to determine whether registration obligations arise. 

Obtaining professional advice can help foundations correctly assess their tax position and avoid potential penalties for late registration. 

Corporate Tax Return Filing Deadline 

Where an ADGM Foundation is subject to UAE Corporate Tax, it must file its Corporate Tax Return within nine (9) months following the end of the relevant tax period. 

Maintaining accurate accounting records and supporting documentation is essential to facilitate timely filing and demonstrate compliance with FTA requirements. Failure to submit returns within the prescribed deadline may result in administrative penalties. 

No Annual Accounts Filing or Audit – But Records Must Be Maintained

One of the most attractive features of the ADGM Foundation regime is the absence of mandatory annual financial statement filings and audit requirements.

However, this should not be interpreted as an exemption from maintaining proper financial records. Foundations are required to keep adequate accounting records that accurately reflect their financial position and transactions.

The Registrar retains the authority to request records or commission an audit where compliance concerns arise. Importantly, accounting records must be preserved for a minimum of ten (10) years throughout the foundation’s existence.

Maintaining a Registered Office in ADGM

Every ADGM Foundation must maintain a registered office address within ADGM at all times.

For non-exempt foundations, this registered office must generally be maintained through an ADGM-registered Company Service Provider (CSP). Exempt foundations that demonstrate sufficient operational presence, governance infrastructure, and resources in the UAE may be permitted to use the address of a parent or related entity.

The registered office serves as the official point of contact for all regulatory communications and notices.

Company Service Provider (CSP) Obligations

For non-exempt foundations, the appointment of an ADGM-registered Company Service Provider is not merely an incorporation requirement but an ongoing compliance obligation.

The CSP assists with maintaining statutory records, managing regulatory filings, supporting AML compliance, and facilitating communication with the ADGM Registration Authority. Foundations must ensure that their CSP appointment remains active throughout their lifecycle.

Beneficial Ownership Updates

ADGM places significant emphasis on regulatory transparency while maintaining confidentiality from public disclosure.

All ADGM Foundations must maintain accurate beneficial ownership records and notify the Registrar of any changes within fifteen (15) days of the change occurring. These records are maintained by the Registration Authority and are not available for public inspection.

Failure to update beneficial ownership information within the prescribed timeframe may result in regulatory sanctions.

Confirmation Statement and Maintenance of Corporate Records

Foundations should ensure that all legal and corporate information maintained with the Registration Authority remains accurate and current. 

Any regulatory confirmations, updates, or maintenance filings required by the Registration Authority should be completed within the applicable deadlines. Maintaining accurate records helps ensure smooth interactions with regulators and avoids potential compliance issues.

Notifying the Registrar of Material Changes

Beyond beneficial ownership reporting, foundations must notify the Registrar whenever significant structural or governance changes occur. 

These may include:

  • Amendments to the Foundation Charter or By-Laws
  • Appointment or resignation of Council Members
  • Appointment or resignation of a Guardian
  • Change of foundation name
  • Change of registered office address
  • Other material governance changes 

A filing fee of USD 100 generally applies to each notification submitted to the Registration Authority.

While these filings are event-driven rather than annual obligations, they form an important part of the foundation’s ongoing compliance framework.

AML and KYC Compliance 

ADGM Foundations are subject to the UAE’s Anti-Money Laundering and Combating the Financing of Terrorism (AML/CFT) framework.

Foundations should maintain adequate records relating to the identity of founders, council members, and other relevant stakeholders. This typically includes:

  • Passport or national identification documents
  • Proof of residential address
  • Source of wealth information
  • Source of funds information

Although beneficiary details are generally not publicly disclosed, information may be collected and maintained for AML compliance purposes by the Registrar, CSP, or other regulated service providers.

CRS and FATCA Assessment

Depending on the nature of its assets, activities, and ownership structure, an ADGM Foundation may be required to assess its obligations under:

  • Common Reporting Standard (CRS)
  • Foreign Account Tax Compliance Act (FATCA)

Where reporting obligations arise, the foundation must complete the required assessments and filings annually. Proper classification is essential to ensure compliance with international tax transparency standards and avoid reporting failures.

VAT Registration (If Applicable)

Not all ADGM Foundations will have VAT obligations. However, foundations engaged in taxable economic activities should monitor their VAT position carefully.

VAT registration becomes mandatory where annual taxable supplies and imports exceed AED 375,000. Voluntary registration may be available where taxable supplies or expenses exceed AED 187,500.

A common example is a foundation that owns and leases commercial property, where rental income may create VAT registration obligations under UAE federal tax law.

VAT Return Filing

Where a foundation is registered for VAT, it must submit VAT returns and pay any VAT liabilities within the prescribed deadlines. 

In most cases, VAT returns are filed quarterly and must be submitted within twenty-eight (28) days following the end of the relevant tax period. Accurate bookkeeping and record maintenance are therefore essential to support VAT compliance.
